REGISTERING WITH THE AFFILIATE PROGRAM FOR IslandEyes.com, YOU MUST
FIRST READ, UNDERSTAND AND AGREE TO THE FOLLOWING TERMS. YOUR ACCEPTANCE
OF THE TERMS OF THIS AGREEMENT SHALL CONSTITUTE A BINDING AGREEMENT
BETWEEN YOU AND IslandEyes.com IN ACCORDANCE WITH THE TERMS SET FORTH
HEREIN. |

| Sales
Tracking & Compensation |
All
visitor & sales tracking is performed by CCBILL, the same company
responsible for processing our membership sales. To permit accurate
tracking, reporting, and fee accrual, Affiliate must ensure that the
links between Affiliate's site and Our site are properly formatted.
IslandEyes.com holds no responsibility for uncounted and unpaid subscription
signups if Affiliate fails to link Our banner correctly. Affiliate can
log in and check their Stats at any time. Pay periods run from Sunday
through Saturday, for one full week. Checks are processed the 2nd Monday
after the end of the period (nine days later). Affiliates receive 25%
commission on all referred membership sales that are referred through
the Affiliates site. If a signup generated from Affiliates banner link
requests a chargeback from his or her credit company, that deduction
will be made from Affiliates account for the next pay period. Questions
involving check processing and amount disputes should be directed to
CCBill, our Payment and Referral Program Processor. Questions about
how our affiliate program operates should be directed to affiliates@IslandEyes.com |

| Linking
Policies |
Any
customer joining IslandEyes.com through this affiliate program is made
a customer of IslandEyes.com and must adhere to IslandEyes.com policies
and terms of use. Affiliate may not accept or make any offer on behalf
of IslandEyes.com. IslandEyes.com is not responsible for any representations
made by Affiliate which contradict IslandEyes.com policies. IslandEyes.com
reserves the right to terminate any affiliate at any time and refuse
to pay them if they operate a website deemed to contain "inappropriate"
or "illegal" content. This includes, but is not limited to,
websites that contain content involving Bestiality, Realistic Violence,
Hate Propaganda, Incest, and any content involving Minors under the
age of 18. IslandEyes.com does not allow links coming from password
distribution websites, warez websites, blind links or forced exit traffic.
Spamming is not permitted. If CCBill receives proof of spamming from
your account you will not be paid. IslandEyes.com reserves the right
to terminate any affiliate at any time and refuse to pay them if it
is discovered that unauthorized methods of linking are being used. Only
official IslandEyes.com Affiliate banners may be used for affiliate
linking. If you create your own banner design, please submit it to affiliates@IslandEyes.com
for approval before posting on your website. |

| Amendments |
IslandEyes.com
reserves the right to modify or otherwise amend this Agreement at any
time. We reserve the right to cancel this program at any time, without
prior notification. In such case you will be notified immediately and
paid for all accumulated funds up to that point in time. In case where
it is determined that you have cheated by violating this agreement in
any way, you will not be paid. |

| Relation
of Parties |
It
is henceforth understood that Affiliate is an independent contractor
and not an employee or representative of IslandEyes.com and shall have
no right or authorization on behalf of IslandEyes.com. Affiliate can
neither make nor offer services or guarantees on behalf of IslandEyes.com
unless approved by IslandEyes.com. |

| Network
Failures & Acts of God |
We
shall not be liable to you for any failure of our site or software that
is caused by an event beyond our reasonable control. |

| Delay |
We
will use our reasonable endeavors to enable users to obtain access to
our website through the internet. We cannot however be held responsible
for any disruption, withdrawal or failure of all or part of our site
or the affiliate system (managed by CCBill) however caused. You acknowledge
the electronic nature of the service to be supplied and the inherent
risk that communications by electronic means may not reach their intended
destination or may do so much later than intended for reasons outside
our control. |

| Indemnification |
You
agree to indemnify, defend and hold harmless us from any and all liability,
penalties, losses, damages, costs, expenses, solicitor’s fees,
causes of action, circumstance, breach of warranty or claims caused
by or resulting directly from the service provided to you, which damages
either you, us or any other party or parties without limitation or exception.
This indemnification and hold harmless agreement extends to all aspects
of the service. |

| Your
Right to Privacy |
With
respects to Affiliates right to privacy, IslandEyes.com shall not reveal,
disclose, distribute, sell or make public the personally identifiable
information of Affiliates to any third parties, including advertisers,
competitors and agents or subcontractors. The information that Affiliates
provide shall only be used to create and maintain Affiliates account
with CCBill. |
